JT Designs – Master Service Agreement & Privacy Policy

Legally Binding Agreement
By accessing, engaging, paying, or continuing to use any service provided by JT Designs, the Client agrees to all terms contained herein.
1. Parties
This Agreement is entered into between JT Designs ("Service Provider") and the individual or entity engaging services ("Client").
Independent Contractor Relationship
Nothing in this Agreement shall be construed as creating an employment relationship, partnership, joint venture, or agency relationship between the parties. JT Designs acts solely as an independent contractor.
2. Scope of Services
JT Designs provides creative, technical, and digital services including but not limited to:
- Web design and development
- Graphic design and branding
- Digital advertising and social media services
- Document creation and digital assets
- Electronics repair and preventive maintenance documentation
Specific deliverables, timelines, pricing, and revision limits are defined per quotation, invoice, or written confirmation. Each price plan includes a limited number of revisions, with a maximum of three (3) revisions per project unless otherwise stated. Additional revisions beyond this limit may incur extra costs. Complete restarts of a project are considered new requests once the maximum number of revisions has been reached.
Clients are encouraged to provide comprehensive requirements at project initiation and clear instructions when requesting revisions.
JT Designs reserves the right to cancel or terminate a monthly agreement with fourteen (14) days’ written notice.
3. No Guarantee of Results
JT Designs makes no guarantees regarding performance, rankings, engagement, conversions, sales, revenue, or growth. All marketing, advertising, and digital outcomes are influenced by external factors beyond the Service Provider’s control.
4. Client Responsibilities & Content Warranty
- The Client warrants that all materials supplied (including text, images, logos, videos, trademarks, and data) are legally owned or licensed for use.
- The Client agrees to fully indemnify and hold harmless JT Designs against any claims, damages, losses, or legal actions arising from supplied content.
- The Client agrees to provide timely feedback, approvals, credentials, and access required for service delivery.
5. Payments & Fees

- All fees are payable as agreed and are non-refundable to the extent permitted by law unless explicitly stated otherwise in writing.
- JT Designs reserves the right to withhold deliverables until payment is received in full.
6. Suspension of Services & Stop Work
- Right to Halt: JT Designs reserves the right to immediately suspend all active work and withhold further deliverables if any invoice remains unpaid after the due date.
- Service Interruption: During a suspension, timelines and deadlines will be paused. JT Designs shall not be liable for any delays, loss of rankings, or campaign performance issues caused by such a suspension.
- Resumption: Work will only resume once all outstanding balances, including any late interest fees, are settled in full.
7. Limitation of Liability
JT Designs shall not be liable for any indirect, incidental, special, or consequential damages. Maximum aggregate liability is strictly limited to the total fees paid by the Client in the preceding sixty (60) days.
8. Force Majeure
JT Designs shall not be liable for delays or failures caused by events beyond reasonable control, including but not limited to load shedding, internet outages, hosting failures, platform or API changes, cyber incidents, strikes, or acts of God.
9. Third-Party Platforms & Services
JT Designs bears no responsibility for outages, suspensions, bans, algorithm changes, policy enforcement, or operational failures of third-party platforms including but not limited to Google, Meta, hosting providers, analytics services, and payment gateways.
10. Data Retention & Deletion
- Upon termination, project data may be retained for up to sixty (60) days and thereafter permanently deleted without notice.
- Clients may request early deletion in writing, subject to legal retention obligations.
11. Intellectual Property
- All work remains the intellectual property of JT Designs until full payment is received.
- Upon settlement, ownership transfers unless otherwise agreed in writing.
- JT Designs may showcase completed work in portfolios and marketing unless confidentiality is agreed in writing.
12. Privacy & Data Protection
JT Designs processes personal information in accordance with the Protection of Personal Information Act (POPIA).
- Data is processed solely for service delivery, legal compliance, and business administration.
- Clients may request access, correction, or deletion of personal information.
- Requests for access to information may be made under the Promotion of Access to Information Act (PAIA).
13. Confidentiality
Both parties agree to maintain confidentiality of proprietary and sensitive information. This obligation survives termination.
14. Policy Updates
JT Designs reserves the right to amend these terms at any time. Continued use of services constitutes acceptance of updated terms.
15. Electronic Acceptance
Acceptance via quotations, invoices, email confirmations, online forms, or payment constitutes binding acceptance. WhatsApp communications are informal and shall not constitute contractual acceptance unless confirmed via email.
The public display, distribution, or commercial use of any draft or deliverable by the Client shall be deemed as final acceptance and approval of that work, triggering the obligation for full payment.
16. Governing Law & Jurisdiction
This Agreement is governed by the laws of the Republic of South Africa. All disputes fall under the exclusive jurisdiction of the courts of Mpumalanga Province, South Africa.
17. Dispute Resolution
The parties agree to attempt mediation or arbitration in good faith prior to instituting legal proceedings.
18. Communication Channels
Official project communications, approvals, and instructions must be conducted via email. Responses are typically provided within forty-eight (48) business hours.
19. Licensing
Upon full payment, JT Designs grants the Client a non-exclusive, non-transferable license to use the deliverables solely for their intended purpose.
20. Severability
If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

22. Termination
Either party may terminate project-based engagements with fourteen (14) days’ written notice unless otherwise contractually specified.
